Key Responsibilities
The Company Secretary will take ownership of the following core areas, working closely with management and internal teams to ensure smooth corporate governance and regulatory adherence.

Corporate Secretarial & Governance

  • Draft and maintain minutes, notices, and resolutions for Board Meetings and General Meetings.
  • Prepare documentation for convening board and shareholder meetings.
  • Maintain and update statutory registers and records in accordance with regulatory requirements.
  • Assist in company incorporation and related secretarial procedures.

Regulatory Filings & Compliance

  • Ensure accurate and timely e-filings with the Registrar of Companies (ROC).
  • Handle FEMA compliances, ROC filings, and statutory documentation.
  • Manage event-based compliances such as director appointments, resignations, and share allotments.
  • Monitor and ensure adherence to statutory deadlines and regulatory timelines.

Legal Documentation & Advisory

  • Draft, review, and vet agreements and legal documents.
  • Provide guidance to management on transaction validity and applicable legal frameworks.
  • Ensure compliance with corporate, tax, and labor laws.
  • Keep track of regulatory updates and changes affecting the organisation.

Compliance Management

  • Manage quarterly, half-yearly, and annual compliances for both listed and unlisted companies.
  • Oversee compliance processes across the organisation.
  • Ensure adherence to all statutory and regulatory requirements.
  • Implement and monitor compliance frameworks and controls.

Advisory & Support

  • Provide guidance to management on corporate governance and regulatory matters.
  • Support internal teams with legal documentation and compliance processes.
  • Act as an advisor on secretarial best practices and evolving legal requirements.
  • Liaise with regulators, auditors, and external stakeholders as required.

Growth & Development

  • Stay updated on changes in Companies Act, SEBI regulations, and FEMA guidelines.
  • Participate in training and knowledge-sharing sessions.
  • Contribute to process improvements in secretarial operations.
  • Collaborate across functions to deliver quality compliance outcomes.
